Corporate Governance

Effectiveness of Board and alignment with the interests of shareholders

Stock ownership: The Board believes that directors should be long-term owners, and has adopted a policy requiring each outside director to, within three years of his/her appointment, hold equity in Accenture with a current value of three times the value of annual equity grants to directors as set from time to time by the Compensation Committee. Equity with such value shall be held so long as the director remains a member of the Board.

Performance assessment of Board: The Nominating & Governance Committee, inter alia, during fiscal year 2008 conducted a confidential survey of the Board designated to evaluate (and improve, as needed) the operation and performance of the Board and each of its committees and designed and distributed to each Board member a self-assessment survey designed to enhance each members’ participation and role as a member of the Board, which was reviewed with the member by either the chair of the committee or the lead director.

Does your company have a local CSR report or is preparing one?

Slovak office of Accenture does not have a local CSR report. The CSR report is prepared at the corporate level.

Accenture’s Internal Audit group is performing a review of the process for data collection, calculation, and reporting, which includes analysis of the completeness and accuracy of metrics used, data points submitted, and supporting documentation available. While this audit does not provide absolute assurance, no material errors were identified so far.

Performance appraisals

Multidimensional performance appraisal applies to all Executive/ top management and Middle management (Senior Executives and Senior Managers), 9% of all employees. Formal comparative ranking of employees within one employee category is applied to 100% of all employees. All employees are measured against objectives and given a comparative rating which primarily drives compensation. Performance is discussed in relevant leadership forums and then communicated to the individual.

Each of our more than 180,000 employees has a career counselor.

When modifying or introducing new benefits feedback from employees and usage of benefits in context with effective financial management and job market requirements are taken into account.

Employees and environmental agenda

The environment is important to Accenture employees globally. The vast majority of Accenture people said they thought the environment was important in an employee survey conducted in 2008. A key objective of Accenture’s environmental strategy is to inspire and channel the passion of employees to help reduce environmental impact. For example, the global Eco Challenge program includes an online carbon calculator for employees to determine their carbon footprint at home and at work and make reduction pledges.

Health and safety

A standard global Accenture Safety and Security Check List is completed for all Accenture offices and Client Project sites, each country adapting the check list to comply with local legislation.

Anyway, industrial injuries are not a significant feature of the professional services industry.

Global health pandemics: Accenture has a number of formalized mechanisms for adapting to health risks. For example, Global Watch is Accenture's program to advise employees of the risks associated with business travel and provides employees with policies on travel at times of health risk.

Extreme weather events: Our real estate strategy contributes to our adaptation to these risks. We actively enable most of our workforce to work remotely which would help us continue business operations in the event of extreme weather events that made it difficult to access our facilities.

Training and education

A recent research study shows that for every hour of training our competitors give their people, Accenture employees receive two hours, at half the cost per hour. Specifically, our $900 million investment in training resulted in an average of 75 training hours per person, for a total of more than 12 million hours of training delivered.

In fact, we are setting the standard for learning at work. Accenture Education programs have been recognized and honored around the business world, winning prestigious awards such as the CLO Magazine Gold Award for Leading Business Change, the Most Admired Knowledge Enterprise (MAKE) award from the Knowledge Network, and multiple Brandon Hall Excellence in eLearning awards.

At Accenture, we do not just have learning down to a science. We literally wrote the book on it. Return on Learning, published in 2007, tells the story of how we reignited learning for a whole new generation of Accenture people, including our award-winning study demonstrating the return we make on our learning investment.

All employees have a workforce and workgroup capability mapping, and everyone is assigned a career counselor and has a training/development program. There is also a formalized annual review/counseling process to provide development feedback.

At Accenture, learning does not stop when you walk out of the classroom. Accenture’s single global learning portal, myLearning, directs our people to over 20,000 online courses, virtual classroom courses, and other learning resources to meet almost any business need.

Another unique aspect of your Accenture Education experience is the idea of “leaders teaching leaders.” Many of our classroom courses are facilitated by Accenture leaders who teach from their own experience, having experienced many of the successes and challenges you will face on the job. In fact, last year over 2000 of our faculty assignments were filled by Accenture leaders from all of our workforces, all around the world. It is a great way to learn, and a great opportunity for Accenture people to contribute and pass on what they have learned.

And learning is not just about courses. We know that for every hour our people spend in a training course, they spend many more hours on-the-job. Employee community engagement

The Accenture Fund was established by our Slovakia office in 2004/2005. The objective of the Fund is to plan, coordinate, and execute beneficent and philanthropic activities on behalf of the Accenture office in Slovakia. The Board of Accenture Fund consists of selected representatives of each workforce which means our employees can directly influence our local community contributions.

In 2006 we have officially launched annual Employee Grant Program for our people in Slovakia, intending to improve the quality of living at those local communities, where Accenture employees reside.

Accenture Fund also focuses on employee volunteering activities. For example, more than 60 company volunteers spent two weekends in Vysoké Tatry mountains, where they helped build a tourist path, nurture a new tree nursery, shovel brushwood, and clean streams. We have also repeatedly participated in the renovation of “Banska Stiavnica Calvary”, which is recorded in the World’s Cultural Heritage List of UNESCO.

Over times, unspent vacation and other indicators related to the working time are regularly monitored and reported to the company management in order to balance the employee work / life activities. Accenture helps clients become sustainable high performance organizations and meet the challenges of a low carbon economy. We invest in research through the Accenture Institute for High Performance and other research groups within the company to help clients develop insights on sustainability issues.

We work with clients across industries and geographies to integrate sustainability approaches into their business strategies, operating models and critical processes. Our holistic approach encompasses strategy, design and execution to increase revenue, reduce cost, manage risk and enhance brand, reputation and intangible assets. Accenture was cited by Forrester research in The Dawn of Green IT Services, February 2008, as the only company of 19 surveyed with full green IT capabilities to help clients from strategy through to planning and implementation, including identifying and developing an overall green IT plan, determining carbon emissions baseline and targets, data center design and architecture.

We also seek to engage with our clients to consider the environmental impact of how we deliver our work. We promote alternative travel arrangements in collaboration with clients on projects where appropriate, such as team members traveling two or three weeks per month to a client site (instead of four), generating significant reductions in carbon emissions for some teams.

We invest in research to help our clients meet the challenges and opportunities driven by changes in regulatory requirements in the move towards a low-carbon economy. Accenture Institute for High Performance and other research groups within Accenture help clients develop insights on sustainability issues. For example:

·    World Business Council for Sustainable Development (WBCSD) Vision 2050: WBCSD’s Vision 2050 project aims to outline a view of the role of business in making the future world more sustainable. It focuses on what a sustainable world could look like and the pathways leading to a successful, although resource and climate constrained, future. Accenture is one of 29 WBCSD member companies participating in this project.

·    Accenture End-Consumer Observatory on Climate Change 2009 – Shifting the Balance from Intention to Action: Low Carbon, High Opportunity, High Performance: Extensive global consumer study of almost 11,000 consumers across 22 countries found in its second year that consumers’ level of concern over climate change has remained unaffected by challenging economic conditions.

·    Accenture Executive Survey on Climate Change 2008: Survey of 133 resources companies worldwide that highlights how resources executives regard the issue of climate change.

·    Green IT Research: Since IT sources account for only 2 percent of most organizations’ total carbon emissions, there is a huge opportunity to address the remaining 98 percent of organizations’ emissions using technology.

·    Driving Sustainability in a Downturn, 2009: Study demonstrates that sustainability is not only admirable but also advantageous because it encourages behaviors consistent with Accenture’s five dimensions of high performance: growth, profitability, positioning for the future, longevity and consistency

Data privacy

Accenture’s approach to client data privacy compliance (Client Data Protection Program) is part of our Ethics and Compliance program. It is based on seven standards of effective compliance:

Mandatory training includes 1.0 hour data privacy training for all employees globally plus 30 minute booster course on client data protection.

Enterprise Security Standards cover data classification; access controls; PC encryption; compliance tools (e.g. email

Scan); ISO certification of delivery centers.

Security Breach Reporting includes central reporting of all security breaches to 24/7 hotline.

Risk Management for new business

We use a uniform groupwide risk analysis framework, i.e. risk assessment, risk management, risk communication and reporting (64 Enterprise risks for which there is a Risk Map and Risk Strategy for the top 20 risks).

Accenture also has robust policies and procedures for risk assessment, to decide which business we will conduct, and where and with whom we will conduct business. New business is assessed for risk at a New Business Meeting and if there are any concerns over risks they are escalated where appropriate. Decisions can range from increased estimates, constrained terms, or a complete walk away.

Communication with clients

We facilitate customer feedback trough free 7 days/ 24 h feedback possibilities via internet, phone or mail. There are appropriate QA arrangements in place to ensure that client feedback is correctly integrated. The Quality Assurance and Expectations Management processes ensure appropriate integration of client feedback.

Client satisfactionAs a professional services company, Accenture does not have retail customers but the company maintains appropriate mechanisms for assuring quality of its services and gaining feedback from its clients.

 


Our responsibility towards vendors

 

Vendor selection process / standards

Our company has established standards for suppliers for the following areas:

·    Environmental standards for products and services delivered by supplier

·    Labor standards/requirements (Non-Discrimination; Forced or slave labor; Child labor; Wages; etc.)

The contracts Accenture is concluding with suppliers include   standard clause insisting that suppliers adhere to standards stipulated by the Code of Business Ethics. Labor standards/requirements are included in our new Supplier Code of Conduct which is being globally released (internally and externally) by the end of June 2009.

Generally a professional services company does not have the kind of suppliers where issues arise that require such measures to ensure compliance. However, the need for such measures is kept under review.

Accenture also has a number of initiatives in respect of supplier diversity - working with and for minority suppliers/ relevant small and medium-sized enterprises to assist their access to bidding to supply Accenture.

Promotion of green agenda among the vendors Accenture does not currently track carbon emissions from our supply chain and the nature of our business in management consulting, technology and outsourcing means that we do not procure inputs in the way that a manufacturer or resources client might, for example. However, we seek to influence our suppliers and their carbon emissions. We have a global sustainable procurement program, are starting to review new and key existing suppliers for environmental and ethical performance, and are implementing a supplier Code of Conduct in line with our Code of Business Ethics

We have recently launched a program as part of global sustainable procurement to review new and key existing suppliers’ environmental and ethical performance to determine areas of risk and encourage improvement. In addition, our current target is for 100% of RFPs issued by Accenture’s procurement organization to contain standard environmental questions. Currently over 90% of RFPs contain these questions and we are continuing to improve our results.

In addition to our anti-bribery policy, Accenture also has a policy which sets out rules and procedures governing contacts with public officials. This policy strictly prohibits all corporate political contributions (both monetary and in-kind) to political candidates, political parties or party committee

on behalf of the Company and its clients.

For example these have been projects which positively affect livelihoods with measurable outcomes and an accent on long-term sustainability of the initiatives as well as of our non-profit partners. Where necessary and possible, grants are complemented by also contributing the skills and commitment of Accenture people. Accenture measures impact in terms not only of the benefit, through measurable outcomes to the non-profit partner, but also in respect of employee awareness and involvement in the initiative.

Our responsibility towards environment

 

Environmental Policy

Consideration for the environment is an essential aspect of our business operations. Commitment to reducing the environmental impact of Accenture’s operations is outlined in our Environmental Responsibility Policy, which is sponsored by Accenture’s global leadership team.

This policy sets out Accenture’s commitment to understanding and addressing the environmental impacts associated with our operations, as well as fostering environmental responsibility among our stakeholders, including clients, suppliers and employees. We seek to consider the environment when we procure goods and services and aim to engage with our clients to consider the impact of how we deliver our work, as well as providing opportunities for our employees to participate in advancing our environmental program.

Environmental Management System

Corporate environmental requirements or guidelines have been developed for a variety of aspects, including:

·    Provision of goods and services

·    Selection/on-going evaluation of suppliers, contractors and service providers

·    Development of new products & services

·    New projects

Certification

In 2009, Accenture received Global ISO 14001 Environment Management System (EMS) standards certification from the British Standards Institution (BSI). The certification covers 53 Accenture locations around the world, including the US, Canada, South Africa and countries throughout Europe, South America and Asia.

Reporting

Accenture’s key environmental metrics are collected quarterly, validated and analyzed using specialized Enablon software. Nominated individuals within business units collect and input metrics such as electricity usage at office level. All inputs are validated and analyzed centrally and reports can be generated at various levels of the organization.

The monitored metrics include business travel and energy usage across Accenture’s operations and act as the base inputs for estimation of Accenture’s corporate carbon footprint. The metrics also drive continuous improvement of Accenture’s environment program and initiatives to drive reduced resource usage and business travel activity. We have geographic energy targets across our operations.

We responded to the Carbon Disclosure Project.

Overall, Accenture reduced its CO2 emissions from 621,198 metric tons CO2 in FY07 to 566,622 in FY08. This represents a reduction of 9 percent in recorded emissions.

Operational Eco-Efficiency

Accenture has been measuring its carbon footprint since fiscal year 2007 (FY07). Given the nature of our business, the material sources of carbon emissions associated with our operations are employee business travel and use of energy in our buildings. Our direct carbon emissions are associated with natural gas and diesel usage in our offices as well as a small amount of business travel.

Accenture is committed to understanding and addressing its environmental impacts, including carbon emissions. As a sign of that commitment to continuous improvement, we have recently set one and three year carbon targets on a per employee basis: For Accenture’s FY09, our target is to reduce CO2 emissions per employee by 25 percent compared with our FY07 baseline. For Accenture’s FY12, our target is to reduce CO2 emissions per employee by 40 percent compared with our FY07 baseline.

We invest in, and promote the use of, practical solutions to avoid business travel where it makes sense.

On June 5, 2009, World Environment Day, we have rolled out a global Eco Challenge program, which includes an online carbon calculator for employees to determine their carbon footprint at home and at work and make reduction pledges.

Development and innovation of Eco-Friendly products/programs

As part of Accenture’s commitment to being a more sustainable organization, we have invested in programs that contribute to reducing carbon emissions by reducing our energy usage and business travel. These investments include:

·    Eco Challenge: engaging our people in the environmental agenda and procuring usage of a third party specialist carbon calculator for our program.

·    Implementing our Environment Management System at 53 locations, undergoing ISO 14001 audit and achieving global certification.

·    Energy management program: driving improved understanding of energy usage and opportunities for reductions, including through installing improved metering

·    capabilities in multiple sites.

·    Capital investment in green building refurbishments and smart building technologies across multiple sites and investment in gaining LEED and other relevant certifications.

·    Capital investment in collaboration 2.0 technologies including Telepresence systems in 36 sites.

·    Procurement of renewable energy in many of our locations.

·    Procurement of specialized Enablon software to automate capture and analysis of activity data and conversion to carbon dioxide emissions.

·    Server consolidation and virtualization program to reduce space and energy usage.
